This policy is effective as of 23th October 2025
The purpose of these Terms of Service (these "Terms") is to establish the terms and conditions under which you have engaged FairBill Solutions LLC (hereinafter referred to as "FairBill") to provide certain services to you as described in these Terms (the "Services"). Your contract with FairBill includes these Terms and your Residential Client Membership/Services Agreement. With your information confirmation and acceptance submittal, you are entering into a contract with FairBill and you will be bound by the provisions of this contract.
To use the Services, you must: (a) expressly agree to these Terms and to FairBill's Privacy Policy; (b) register for a FairBill account through our website; (c) be a U.S. citizen or a legal U.S. resident who is at least 18 years of age (or older if you reside in a state where the age of majority is older); (d) provide a valid payment method (e.g., bank account or credit or debit card) with a U.S. financial institution; (e) provide all other information requested by us in connection with providing the Services to you, such as your name, email address, mobile device number, utility account information, and such other information as we may request from time to time (collectively, "FairBill Account Information"); and (f) pay the fees for Services as described below.
In addition to the FairBill Account Information that you provide to us, you hereby authorize us, either directly or through third-party services, to obtain, verify, and record FairBill Account Information for you, including documentation that helps us verify your identity (which may include, for example, a copy of your government-issued ID, a recent utility bill or bank statement with your name and address on it, or such other information as we may require to verify your identity). You represent and warrant that all FairBill Account Information you provide to FairBill from time to time is truthful, accurate, current, and complete, and you agree to update such information promptly if any of it changes or becomes inaccurate for any reason. You acknowledge and agree that FairBill and third parties may rely on the accuracy of your FairBill Account Information, whether provided by you or collected from a third party, and FairBill has no obligation or liability with respect to any FairBill Account Information, including its accuracy, compliance with laws, or non-infringement of third-party rights.
If any penalties or other punitive fees or charges, including late payment fees, disconnection fees, reconnection fees, returned payment fees, extra paper statement fees, insufficient fund fees, early termination fees, notice charges, and restoral fees (collectively, "charges"), appear on any bill received by you from any of your essential home service companies (i.e., electricity, gas, water, trash/recycling, internet, cable/satellite/TV, home phone/mobile, and home security), then you will promptly (but in any event within 90 days of the original bill due date) submit a copy of such bill to FairBill through its proprietary website. You will also provide to FairBill any other information and documentation related to any such charges that is reasonably requested by FairBill.
Upon receipt from you of a bill under Section 3 above, FairBill will, on your behalf, review such bill and the charge(s) in question, reserve the right to accept or deny the request, contest with the applicable home service company any charges appearing on such bill, and otherwise attempt to have such charges reversed or removed from such bill. FairBill will also review such bill and suggest changes to your service with the applicable home service company that will help to reduce or eliminate such charges on future bills.
If FairBill is unsuccessful in having any charge reversed or removed from any bill submitted by you under Section 3 above, then, subject to Section 6 below, FairBill warrants to reimburse you for such charge. THIS WARRANTY IS NOT AN INSURANCE POLICY.
FairBill's reimbursement obligations are subject to the following additional limitations:
You agree to comply in full with all terms and conditions outlined in the contract between you and FairBill, including, without limitation, those set forth in Section 3 above.
FairBill reserves the right to accept or deny any reimbursement request on a case-by-case basis.
FairBill cannot guarantee a 100% reversal or removal of charges from any bill, but will reimburse the difference to you.
FairBill will be responsible for reimbursing you for any charges that are directly related only to you and the address stated on your bill.
No monthly reoccurring fees will be reimbursed.
No regulatory/governmental fees will be reimbursed.
Penalty fees will only be reimbursed for bills received after becoming a member.
You are eligible to submit a bill for review if your account is paid and is in good standing, and no less than 30 days after your first membership payment.
You agree to pay FairBill $14.95 per month for the Services. This monthly charge will be paid by you through a preset Automatic Payment Transaction (autopay) using your Visa, MasterCard, or Bank Account Draft, as you have indicated on your Residential Client Membership/Services Agreement. Monthly fees are paid in advance for the following 30 days.
FairBill will use a one-time password (OTP) system for you to access your account through our website and for us to authenticate your account. OTPs will be sent to you through the mobile phone or email we have for you on file. You should safeguard your login credentials to keep them safe, and you agree not to share these credentials with any third party. You are fully responsible and liable for any use of your FairBill account with your login credentials.
Subject to your compliance with these Terms, including the payment of applicable fees, FairBill hereby grants to you a limited, non-exclusive, personal, non-sublicensable, non- transferable license to (a) access and use the Services for your personal use, and (b) access and use our website. FairBill and its suppliers or licensors, if any, retain ownership of all intellectual and proprietary rights in and relating to our website and Services and any related documentation. All rights not expressly granted in these Terms are reserved by FairBill.
Except as expressly permitted in these Terms, you will not, and will not permit or encourage any third party to, do or attempt to do any of the following: (i) remove any copyright or proprietary rights notices from our website or any other documentation provided by FairBill; (ii) disassemble, decompile, reverse engineer, modify, or create derivative works of our website or Services; (iii) redistribute, sell, assign, sublicense, lease, loan, rent, timeshare, or otherwise transfer to any third party any of your rights to the Services; (iv) transmit through or submit to our website or Services any information, data, or material that is unlawful, libelous, defamatory, tortious, infringing, threatening, obscene, or harmful to minors; (v) transmit through our website or Services any data or material containing viruses, malware, or other harmful computer code, files, scripts, agents, or programs; (vi) interfere with or disrupt the integrity or performance of the Services or attempt to gain unauthorized access to any FairBill or third-party services or systems; (vii) write or develop, or have written or developed, any software or program based on the Services; or (viii) use or authorize others to use the Services in anyway not expressly permitted in these Terms. This Section will survive the expiration or termination of these Terms for any reason.
By using FairBill's Services and/or website, you acknowledge that FairBill collects certain of your data and documentation, including, without limitation, bank account and credit card statements and transaction data and information, emails and bills received by you from any of your home service companies, login information to your service providers. This data and documentation may be collected directly by FairBill or by third parties engaged by FairBill (such as Plaid Inc.). FairBill uses this information to provide Services to you and to improve the quality of its Services. Your data and documentation may be shared with Plaid Inc., Veem Payments Inc., Amazon Web Services, Inc. and other third-party service providers, affiliates and partners for analytics, business operations, communications, penalty fee inquiries, and payment processing.
You have the right to access, correct or delete your personal data and documentation. You hereby consent to FairBill collecting your data and documentation. However, you can withdraw your consent for data and documentation collection at any time by delivering a written notice to FairBill withdrawing your consent. For more information about FairBill's data practices, please review its full Privacy Policy or contact FairBill at support@fairbillsolutions.com.
FairBill's website may contain or reference links to websites operated by third parties ("Third Party Websites"). Such Third Party Websites are not under FairBill's control. FairBill is not responsible for the content of any Third Party Website or any link contained in a Third Party Website. FairBill does not review, approve, monitor, endorse, warrant or make any representations with respect to Third Party Websites, and the inclusion of any link on FairBill's website is not and does not imply an affiliation, sponsorship, endorsement, approval, investigation, verification or monitoring by FairBill of any information contained in any Third Party Website. In no event will FairBill be responsible for the information contained in any Third Party Website or for your use of or inability to use such Third Party Website. Access to any Third Party Website is at your own risk, and you acknowledge and understand that linked Third Party Websites may contain terms and privacy policies that are different from FairBill's. FairBill is not responsible for such provisions, and expressly disclaims any liability for them.
The term of your contract with FairBill will commence on the date that you enter into your Residential Client Membership/Services Agreement, and will continue until terminated in accordance with this Section. Either you or FairBill may terminate the contract for any reason (or for no reason at all), at any time, by giving the other party written notice. Unless otherwise specifically provided in these Terms, neither you nor FairBill will have any further rights, duties or obligations to one another after the effective date of any such termination.
Our website and Services are provided to you "AS IS" and on an "AS AVAILABLE" basis. Without limiting the generality of the foregoing, FAIRBILL EXPLICITLY DISCLAIMS ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT OR NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. FairBill makes no warranty that our website or Services will meet the requirements of you or anyone else, or that they will be available on an uninterrupted, secure, or error-free basis.
You acknowledge and agree that under no circumstances will FairBill, its managers, officers, employees, agents, or affiliates be liable to you or any third party for any direct, indirect, incidental, special, punitive or consequential damages arising out of or in any way connected with the use of the Services, products, or membership. In the event of any claim or dispute, the maximum total liability of FairBill and its affiliates shall be limited to either the amounts paid by you for your membership or the penalty amounts on the applicable bill, whichever is lower. This limitation of liability is exclusive and applies regardless of your loss or damage that you may suffer whether in contract, tort, negligence, strict liability, or any other legal or equitable theory.
By using our Services, you hereby acknowledge and agree to these limitations of liability and exclusions apply even if this exclusive remedy does not fully compensate you for any losses or fails of its essential purpose or if FairBill knew or should have known about the possibility of the damages. To the maximum extent permitted by law, these limitations and exclusions apply to anything related to the contract between you and FairBill.
You agree to indemnify and hold harmless FairBill, its affiliates, and its and their equity owners, officers, directors, employees, and agents from and against any liability arising out of or relating to your breach of these Terms and/or your breach or alleged breach of any related agreement with any third party (including, without limitation, any agreement with a property owner or manager or a utility provider).
By using the Services and providing FairBill Account Information to us, you hereby authorize us, either directly or through third-party services, to obtain information about you and all applicable home service account(s) from the relevant home service companies or other entities who have the information about the home service account(s) for which FairBill is to provide Services. For purposes of this authorization, you hereby grant FairBill and our third-party service providers a limited power of attorney, and you hereby appoint FairBill and our third-party service providers as your true and lawful attorney-in-fact and agent, with full power of substitution and re-substitution, for you and in your name in any and all capacities to access third-party websites, services, and documents, to retrieve information relating to you and your home service accounts, and use the information collected, all of which is included in FairBill Account Information, as described above. This includes the full power and authority to do and perform each and every act and thing requisite and necessary to be done in connection with such activities for the Services, as if performed by you in person.
YOU ACKNOWLEDGE AND AGREE THAT WHEN FAIRBILL OR OUR THIRD-PARTY SERVICE PROVIDERS ACCESS AND RETRIEVE INFORMATION FROM ANY THIRD PARTY, FAIRBILL AND OUR THIRD- PARTY SERVICE PROVIDERS ARE ACTING AS YOUR AGENT WITH THE REQUISITE POWER AND AUTHORITY TO DO SO. You further acknowledge and agree that the Services are not endorsed or sponsored by any third-party account or information providers, including any utility company who permits utility account management through the Services.
FairBill may communicate with you in a variety of ways, which may include email, SMS text message, phone call, notifications through our website, mail, and any other method whether electronic or hard-copy. You hereby consent to receipt of any and all communications relating to our website and Services, including invoices and notices under these Terms, via any such method using the contact information provided in your FairBill Account Information. All such communications are deemed received when sent. You may opt out of marketing messages from FairBill, but may not opt out of messages relating to our website or Services.
The contract between you and FairBill and all disputes or controversies arising out of or relating to such contract will be governed by, and construed in accordance with, the internal laws of the State of Texas, without regard to the laws of any other jurisdiction that might be applied because of the conflicts of laws principles of the State of Texas.
Any dispute, claim or controversy arising out of or relating to the contract between you and FairBill or the breach, termination, enforcement, interpretation or validity thereof, including the determination of the scope or applicability of this Section, will be determined exclusively by arbitration in Dallas County, Texas before one arbitrator. The Party who wants to arbitrate must notify the other Party in writing. The arbitration will be administered by JAMS pursuant to its Streamlined Arbitration Rules and Procedures. Judgment on any arbitration award may be entered in any court having jurisdiction. This Section will not preclude the parties from seeking provisional remedies in aid of arbitration from a court of appropriate jurisdiction. The provisions of this Section will survive any termination of the contract between you and FairBill.
Further You specifically agree not to participate in a class, representative, or private attorney general action against FairBill in court or arbitration. The prevailing party in any arbitration or court proceeding described in this Section, as determined by the arbitrator or judge, as applicable, is entitled to its reasonable attorneys' fees and related costs and expenses, and the non-prevailing party shall promptly reimburse the prevailing party for all such fees, costs, and expenses awarded.
FairBill may change the price of the Membership at any time upon 30 days' notice to You. FairBill may in its discretion change these Terms or any other aspect of the Membership, with a 30-day notice to you. If any change to these Terms is found invalid, void, or for any other reason unenforceable, that change is severable and does not affect the validity and enforceability of any remaining changes or conditions.
YOUR CONTINUED MEMBERSHIP AFTER FAIRBILL CHANGES THE PRICE FOR THE MEMBERSHIP OR THESE TERMS CONSITITUES YOUR ACCEPTANCE OF THE CHANGES. IF YOU DO NOT AGREE TO ANY CHANGES, YOU MUST GIVE WRITTEN NOTICE TO CANCEL YOUR MEMBERSHIP.
This contract and the rights, duties and obligations provided hereunder are non-transferable and may not be assigned, sublicensed, or otherwise transferred by you to any third party without the prior written consent of FairBill.
These Terms, along with your Residential Client Membership/Services Agreement, evidence the entire understanding and agreement of you and FairBill relative to the arrangements between you and FairBill and the other matters discussed in these Terms. These Terms, along with your Residential Client Membership/Services Agreement, supersede any and all other agreements and understandings, whether written or oral, relative to the matters discussed in these Terms.
To the extent any provision of the contract between you and FairBill is determined to be invalid or unenforceable, such provision will be deleted from such contract, and the validity and enforceability of the remainder of such provision and of such contract will be unaffected.
